FISCL CURRICULUM LICENSE AGREEMENT
IMPORTANT – PLEASE READ THIS LICENSE AGREEMENT CAREFULLY. BEFORE ACCESSING OR USING THE FISCL CURRICULUM, YOU MUST VERIFY THAT YOU MEET THE REQUIREMENTS FOR THIS LICENSE AND ACCEPT THE TERMS AND CONDITIONS OF THIS AGREEMENT BY ELECTRONICALLY SELECTING THE BOX MARKED “I AGREE” AT THE DOWNLOAD SCREEN.
Welcome to Social Capital Buidlers. Before you can access the FISCL Curriculum, workbooks, and coaching materials, you must read and agree to the terms of the FISCL Curriculum License Agreement outlined below.
ACCESS AND ACCEPTANCE OF LICENSE AGREEMENT
To access the FISCL Curriculum and associated materials, you are required to review this License Agreement in its entirety. By clicking on the box marked “I AGREE” at the end of this Agreement, you are confirming that you have read this Agreement, that you understand it, and that you agree to be bound by its terms. If you do not agree to the terms of this Agreement, you will not be able to access the Curriculum.

Review: Carefully read the terms and conditions of this License Agreement.
Confirm Agreement: If you agree to the terms, indicate your acceptance by clicking on the “I AGREE” checkbox.
Proceed: After clicking “I AGREE,” you will be able to access the Curriculum and other materials.
ELECTRONIC SIGNATURE
By selecting the checkbox marked “I AGREE,” you are signing this Agreement electronically. You agree your electronic signature is the legal equivalent of your manual signature on this Agreement. By selecting “I AGREE” you consent to be legally bound by this Agreement’s terms and conditions.
- Parties
1.1 DeJesus Solutions dba Social Captial Builders, with a business address at 6751 Columbia Gateway Drive, Columbia, MD 21046 (“Licensor”).
1.2 Your organization whose behalf curriculum is accessed (“Licensee”).
- Effective Date
The effective date of the Agreement is the date the Licensee completes this Agreement by selecting the “I Agree” box on Licensor’s website (the “Effective Date”).
- Background and Definitions
3.1 Social Capital Builders has developed comprehensive proprietary materials for teaching social capital, including lessons, workbooks, and coaching materials (the “Curriculum”). All intellectual property rights in the Curriculum are owned by the Licensor.
3.2 Licensee wishes to obtain a license to use the Curriculum for educational and training purposes within its own organization.
- License Grant
4.1 The Licensor hereby grants to Licensee a non-exclusive, non-transferable license to use the Curriculum within Licensee’s own organization and not for the benefit of any other organization or entity.
4.2 The license includes access to the Curriculum, any updates during the term of the license, and a two-hour training session on the Curriculum updates.
- License Term and Fees
5.1 The term of this Agreement is two years from the Effective Date, unless terminated earlier according to the provisions of this Agreement.
5.2 The License fee is $ 1,850, payable upon the Effective Date. This fee grants the Licensee access to the Curriculum, 20 participant workbooks and updates during the license term, and the specified training session.
- Use of Curriculum
6.1 The Curriculum may be used only by the Licensee and solely for the purpose set forth in this Agreement. The Licensee may not transfer, sublicense, or make the Curriculum available to any third party, affiliate, or partner. In addition, the licensee may not use any part of the curriculum or curriculum material for any proprietary purposes.
6.2 Upon expiration or termination of this Agreement, Licensee agrees to cease use of the Curriculum and destroy or return any related materials. After the two year period, the licensee may continue to use the curriculum for a payment of an $850 yearly licensing fee, including updates to all curriculum material and one two hour yearly virtual training.
- Intellectual Property
7.1 All intellectual property rights in the Curriculum, including updates and training materials, are owned by the Licensor. The Licensee is granted a license to use the Curriculum pursuant to the terms of this Agreement but does not acquire any rights of ownership in the Curriculum.
- Limitation of Liability
8.1 The Licensor shall not be liable for any indirect, special, incidental, or consequential damages of any kind that may result from the use of the Curriculum.
8.2 The total liability of the Licensor under this Agreement shall not exceed the amount of the License fee paid by the Licensee.
- General Terms
9.1 This Agreement constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior agreements and understandings, both written and oral.
9.2 This Agreement may be amended only by written agreement duly executed by authorized representatives of the parties.
9.3 If any part of this Agreement is found invalid or unenforceable, the remaining portions will remain in full effect.
9.4 This Agreement is governed by the laws of the State of [Your State], without regard to its conflict of laws principles.
9.5 Any disputes arising under this Agreement shall be resolved in the courts of the State of [Your State].
9.6 This Agreement may be signed in counterparts, each of which shall be deemed an original, and which together shall constitute one and the same instrument.
- Confirmation
By selecting the box marked “I AGREE,” the person submitting this agreement confirms that he or she has read and understood this Curriculum License Agreement and agrees for Licensee to be bound by its terms.
